Empire State Realty OP Expands Credit Facility With $245 Million Delayed Draw Term Loan

Empire State Realty OP, L.P. entered into a first amendment to its credit agreement that increases its borrowing capacity and adds a new delayed draw term loan tranche, the company said in a filing with the Securities and Exchange Commission.

The amendment, dated July 17, 2026, was entered into among Empire State Realty Trust, Inc. as parent, Empire State Realty OP, L.P. as borrower, subsidiary guarantors, lenders party to the agreement, and Wells Fargo Bank, National Association, as administrative agent, according to the filing.

The agreement amends an existing Amended and Restated Credit Agreement originally entered into on November 14, 2025, the filing said. Under that agreement, the borrower had the right to request an increase in the maximum aggregate amount of its credit facilities to an amount not exceeding $310,000,000, according to the filing.

Under the new amendment, the borrower requested an increase in the maximum aggregate principal amount of its facilities from $310,000,000 to $510,000,000, the filing said. The amendment also establishes a new tranche of pari passu delayed draw term loans in a maximum principal amount of $245,000,000, referred to in the filing as the 2026 Incremental Term Loan Facility.

The filing said the lenders providing the new facility, along with the borrower and the administrative agent, agreed that the 2026 Incremental Term Loan Facility would be made available in the form of a delayed draw term facility, as described in the amended credit agreement. The amendment also replaced certain schedules and exhibits attached to the existing credit agreement, including Schedule 2.01 and Exhibits D and F, according to the filing.

The borrower reaffirmed representations and warranties set forth in the amended credit agreement as of the effective date of the amendment, the filing said.
