NusaTrip Incorporated said in a filing with the Securities and Exchange Commission that it received a Staff Delisting Determination from Nasdaq on August 3, 2026, notifying the company that its securities will be delisted.

According to the filing, Nasdaq's Listing Qualifications Department determined to delist NusaTrip under its discretionary authority contained in Nasdaq Listing Rule IM-5101-4. Nasdaq also cited the company's delay in filing its Form 10-K for the fiscal year ended September 30, 2025, and its Form 10-Q for the period ended March 31, 2026, as an independent basis for delisting under Listing Rule 5250(c)(1), the filing said.

The filing disclosed that Society Pass Incorporated controls 78% of the voting power of NusaTrip's outstanding voting securities. On May 14, 2026, Society Pass disclosed that it and its subsidiary SoPa, Inc. had filed for Chapter 11 bankruptcy protection, according to the filing. As a result, 78% of NusaTrip's outstanding voting securities is subject to the bankruptcy process, and the timing and outcome remain unknown, the company said. This uncertainty raises public interest concerns that the filing said make continued listing of NusaTrip's securities inadvisable, supporting Nasdaq's determination to exercise its authority under Listing Rule 5101 to delist the company.

NusaTrip said in the filing that this serves as an additional and separate basis for delisting from Nasdaq. The company stated it does not intend to appeal the Staff Determination by requesting an oral hearing before the Nasdaq Hearings Panel under Nasdaq Listing Rule 5815, and will instead seek to trade over-the-counter.

The filing describes NusaTrip, established in 2015 and headquartered in Jakarta, Indonesia, as a travel ecosystem with geographical specialization in Southeast Asia and Asia-Pacific. The company said it was the first Indonesian-based online travel agent to receive International Air Transport Association accreditation, giving it access to airline fares and inventories from full-service and low-cost carriers.
