Amrize Ltd has appointed Samuel Poletti as Chief Financial Officer and a member of its Executive Committee, according to a contract of employment dated August 24, 2026, included as an exhibit to a filing with the SEC.
The contract, effective August 24, 2026, replaces Poletti's prior employment agreement with the company. It notes his official seniority date as October 1, 2007, meaning his prior years of service within the Amrize Group count toward his total tenure with the employer.
Under the agreement, Poletti reports to Amrize's CEO and, when instructed, to the Board of Directors and its Chairperson. His annual base salary is set at $725,000 gross, paid in twelve monthly installments. He is eligible for an annual bonus targeted at 100% of his base salary and for participation in the company's Long-Term Incentive Plan, which may include restricted shares, stock options or performance-based equity awards.
Additional compensation includes a car allowance of CHF 26,000 per year and a flat-rate expense allowance of CHF 24,000 net annually. Poletti will remain a member of the Holcim Pension Fund and the Holcim Supplementary Pension Fund.
The contract includes a non-competition and non-solicitation clause lasting 12 months after termination of employment, covering territories where Amrize and its subsidiaries operate, with particular reference to building materials, roofing, insulation, adhesives, sealants, ready-mix concrete and cement-based products in the North American market. The agreement can be terminated by either party with twelve months' notice, and employment ends automatically upon reaching statutory retirement age under Swiss AHV/AVS regulations, with no severance owed beyond accrued entitlements.
