Boeing said in a filing with the Securities and Exchange Commission that it has entered into a new 364-day credit agreement dated August 24, 2026, arranged with Citibank, N.A. and JPMorgan Chase Bank, N.A.
Citibank, N.A. serves as administrative agent for the lenders, while JPMorgan Chase Bank, N.A. acts as syndication agent. Both banks are named joint lead arrangers and joint book managers on the facility.
Under the agreement, The Boeing Company, referred to as TBC, is the borrower for itself and on behalf of its subsidiaries, with other lenders party to the agreement able to extend advances. Advances under the facility can take the form of either Base Rate Advances or SOFR Advances.
Pricing on the advances is tied to Boeing's public debt ratings from S&P, Moody's and Fitch. The agreement sets out a five-tier grid, from Level I to Level V, that determines the applicable margin charged on SOFR Advances and Base Rate Advances, with rates rising as ratings decline. A separate ratings-based grid also sets an applicable percentage under the agreement.
The new agreement follows a prior 364-Day Credit Agreement dated August 25, 2025, between TBC, Citibank, N.A. as administrative agent, and other lenders, which is referenced within the terms of the newly filed document.
