Sandisk Corporation entered into an amendment to its existing loan agreement with JPMorgan Chase Bank as administrative agent, establishing a new class of revolving credit commitments, according to an exhibit filed with the SEC.
The amendment, dated September 9, 2026, modifies a loan agreement originally dated February 21, 2025 among Sandisk, additional borrowers, a group of lenders and JPMorgan Chase Bank, N.A. as administrative agent.
Under the amendment, the company creates a new class of 2026 Revolving Credit Commitments in the same aggregate principal amount as the prior commitments, which they replace in full. Lenders who sign on as 2026 Revolving Lenders will provide revolving loans to the borrowers up to the amount listed for each lender on a schedule attached to the agreement.
The filing states that any revolving loans outstanding immediately before the new commitments take effect must be prepaid in full, with the balance repaid using proceeds from loans made under the new 2026 commitments. Letters of credit outstanding at that time are to be deemed issued under the new commitments instead.
Fourteen financial institutions are named as joint lead arrangers and joint bookrunners for the amendment, including JPMorgan Chase Bank, Citibank, DBS Bank, Mizuho Bank, MUFG Bank, RBC Capital Markets, Sumitomo Mitsui Banking Corporation, TD Securities, Morgan Stanley Senior Funding, BNP Paribas Securities, HSBC Securities, Keybanc Capital Markets, PNC Bank and U.S. Bank.
The agreement lists conditions that must be satisfied before the amendment takes effect, including delivery of legal opinions from Cleary Gottlieb Steen & Hamilton LLP and Young Conaway Stargatt & Taylor LLP, corporate authorization documents from Sandisk and its subsidiary guarantors, and payment of accrued interest, fees and upfront fees to lenders under the new commitments.
