Avantor, Inc. has appointed Todd Garner as Executive Vice President and Chief Financial Officer, the company said in a filing with the SEC.
Garner's start date is anticipated to be September 21, 2026, contingent on proof of his right to work in the United States and completion of a background screening. He will report directly to Avantor's Chief Executive Officer and will work remotely from Alpine, Utah, until a permanent Avantor headquarters is confirmed.
His base salary is set at $700,000 per year. He is eligible to participate in Avantor's Incentive Compensation Plan with an annual target bonus of 80% of base salary, prorated for 2026 based on days worked.
Avantor will pay Garner a one-time signing bonus of $150,000 within 30 days of his hire date. If he leaves voluntarily within 12 months of receiving it, other than for Good Reason, death or Disability, he must repay the bonus in full.
Garner will also receive a new-hire equity award under the Avantor, Inc. 2019 Equity Incentive Plan with a targeted value of $1,500,000, split evenly between restricted stock units and stock options priced at a 10% premium to the market price on the grant date. The RSUs vest 50% per year over two years, and the premium-priced options vest 33% per year over three years. If Avantor terminates Garner without Cause, or he resigns for Good Reason, a portion of unvested awards scheduled to vest within one year of termination will receive additional service credit.
Beginning in 2027, Garner will be eligible for an annual equity grant with a target fair market value of $3,000,000, subject to satisfactory performance. He is entitled to four weeks of paid time off annually and is eligible for relocation assistance under Avantor's relocation policy. He is also eligible to participate in Avantor's newly adopted Executive Severance and Change in Control Plan.
