LandBridge Adopts Plan to Convert From Delaware LLC to Texas Corporation
News brief14 Oct 20262 min read

LandBridge Company LLC adopted a plan of conversion to become LandBridge Corporation, a Texas corporation, according to a filing with the SEC dated October 13, 2026.

The plan, approved by LandBridge's board of directors and shareholders, sets out the terms for carrying out the conversion under Title 1, Chapter 10, Subchapter C of the Texas Business Organizations Code. Under the plan, the company will continue its existence without lapse or interruption, moving from a Delaware limited liability company structure to a Texas for-profit corporation.

Under the plan, each outstanding Class A Share will automatically convert into one share of Class A Common Stock, par value $0.001 per share, and each Class B Share will automatically convert into one share of Class B Common Stock, also par value $0.001 per share, of the converted corporation. The plan states this conversion of shares will occur automatically, without further action required by any person.

Existing employee benefit plans, including retirement, health, deferred compensation, bonus and equity-based compensation arrangements, are to continue on the same terms under the converted corporation. Equity awards tied to the value of Class A Shares will be converted into awards based on Class A Common Stock, preserving exercise prices, vesting schedules and other terms. The plan provides that the directors and officers of the LLC will continue in their roles immediately after the conversion takes effect.

The conversion is to become effective upon the filing of a Certificate of Conversion and Certificate of Formation with the Texas Secretary of State, alongside a corresponding Certificate of Conversion to be filed with the Delaware Secretary of State. The plan states the converted corporation will be responsible for all fees, franchise taxes, debts and liabilities of the LLC, and that the conversion is intended to qualify as a reorganization under Section 368(a)(1)(F) of the Internal Revenue Code. The document was executed by Scott L. McNeely, the company's Executive Vice President and Chief Financial Officer.
