Blue Owl Finance LLC, an indirect subsidiary of Blue Owl Capital Inc., has agreed to issue and sell $750,000,000 in aggregate principal amount of 6.750% Senior Notes due 2036, according to an underwriting agreement filed with the SEC.
The underwriting agreement is dated August 11, 2026, the filing said.
BofA Securities, Inc., Goldman Sachs & Co. LLC, and Morgan Stanley & Co. LLC acted as representatives of the several underwriters named in the agreement, the filing said.
The notes will be fully and unconditionally guaranteed as to principal, premium, and interest on a senior basis, jointly and severally, by Blue Owl Capital Inc. and other guarantors listed on the agreement's signature pages, according to the filing.
The offering was made under an automatic shelf registration statement on Form S-3, filed with the Securities and Exchange Commission under File No. 333-279546, the agreement stated. The filing noted that the registration statement became effective upon filing and that no stop order suspending its effectiveness had been issued.
The agreement also addressed the companies' representations regarding the accuracy of the registration statement, pricing prospectus, and related disclosure documents, as well as representations concerning the absence of material adverse changes or losses affecting the businesses of Blue Owl Finance LLC and its subsidiaries since the date of the latest audited financial statements referenced in the pricing prospectus.
