Capital Southwest Corporation entered into an equity distribution agreement allowing it to sell up to $2 billion in shares of common stock through RBC Capital Markets, LLC, according to an exhibit filed with the SEC.
Under the agreement, dated August 7, 2026, Capital Southwest may issue and sell shares of its common stock, par value $0.25 per share, having an aggregate offering price of up to $2,000,000,000, according to the exhibit filed with the SEC. RBC Capital Markets will act as sales agent and/or principal for the offering.
The company noted in the filing that the $2 billion maximum amount will be reduced on a dollar-for-dollar basis by gross sales proceeds already received from sales under separate alternative equity distribution agreements the company has entered into with other managers listed in the filing.
Capital Southwest said that whenever it determines to sell shares directly to RBC Capital Markets or an alternative manager as principal, it will enter into a separate terms agreement governing that specific sale, as described in the filing.
The filing also disclosed that Capital Southwest owns 100% of the equity interests in several subsidiaries, including Capital Southwest Equity Investments, Inc., Capital Southwest SPV LLC, Capital Southwest SBIC I, LP, Capital Southwest SBIC II, LP, and Capital Southwest SBIC I GP, LLC.
According to the filing, the company has elected to be regulated as a business development company under the Investment Company Act of 1940 and has elected to be treated as a regulated investment company for federal income tax purposes under Subchapter M of the Internal Revenue Code.
