Caterpillar Inc. entered into a new 364-day credit facility dated August 27, 2026, according to a filing with the SEC.
The agreement lists Caterpillar Inc., Caterpillar Financial Services Corporation, Caterpillar International Finance Designated Activity Company, Caterpillar Finance Kabushiki Kaisha, and Caterpillar International Finance Luxembourg S.à r.l. as borrowers under the facility.
Citibank, N.A. serves as agent for the lending banks. Citibank Europe plc, UK Branch, acts as local currency agent for both the Irish and Luxembourg finance units, while MUFG Bank, Ltd. serves as the Japan local currency agent.
Citibank, BofA Securities, JPMorgan Chase Bank, J.P. Morgan SE, Barclays Bank, MUFG Bank and Société Générale are named as joint lead arrangers and joint bookrunners on the facility.
The agreement provides for revolving credit advances, local currency advances, Japan local currency advances and term loan advances, with borrowing terms, interest rate determinations and repayment conditions set out across its articles. It also includes financial covenants applicable to Caterpillar and to Caterpillar Financial Services Corporation.
The agreement contains a provision addressing the termination of a prior credit agreement. It also includes a guaranty from Caterpillar Financial Services Corporation covering obligations under the facility.
