Datavault AI Inc. said in a filing with the SEC that it has completed its acquisition of NYIAX, Inc., adding institutional-grade exchange technology, blockchain settlement infrastructure and a portfolio of patents to its digital asset and real-world asset tokenization platform.
Datavault AI and NYIAX had been working together since entering a licensing and marketing agreement in March 2025, a collaboration the companies said will now deepen under full ownership, according to the filing.
According to the filing, NYIAX operates a contract management exchange and one of the first blockchain-enabled marketplaces for trading guaranteed contractual assets. The exchange infrastructure includes four issued U.S. patents, all entitled "Systems and Methods for Electronic Continuous Trading of Variant Inventories," with a fifth patent application filed, the company said.
Datavault AI CEO Nathaniel Bradley said in the filing that the transaction completes a critical infrastructure layer within the company's ecosystem, following eighteen months spent assembling technologies to originate, authenticate, value, tokenize and commercialize digital assets. NYIAX CEO Teri Gallo said the exchange architecture was designed for a broader opportunity beyond its initial advertising application, and that the combined company brings a pipeline of opportunities spanning healthcare, data, advanced materials, entertainment, media, environmental markets and natural resources.
The filing said the acquisition expanded Datavault AI's capabilities across the digital asset lifecycle, from origination and valuation through exchange infrastructure and secondary market participation, and added Collective Audience's commercialization and audience development capabilities, following NYIAX's August 2025 acquisition of that company. As part of the integration process, NYIAX expects to recommend two representatives for consideration by Datavault AI's Board of Directors, subject to the company's customary governance review, according to the filing.
