Datavault AI Inc. has agreed to acquire WDT, LLC, the parent company of a Wyoming special purpose depository institution known as BankWyse, according to an Agreement and Plan of Merger filed as an exhibit to an 8-K with the Securities and Exchange Commission.

The agreement, dated August 19, 2026, is between Datavault AI Inc., referred to as the Public Company, its wholly-owned subsidiary DVLT Merger Sub LLC, and WDT, LLC, referred to as Merger Partner, the filing said.

WDT, LLC is the sole parent of Wyoming Deposit & Transfer Corp., which does business as BankWyse and operates under the supervision of the Wyoming Division of Banking, according to the filing. As a result of the transaction, Datavault AI will acquire the membership interests in WDT, LLC and become the ultimate parent of BankWyse, resulting in a change of control under Wyoming law, the filing said.

Under the terms of the agreement, WDT, LLC will merge with and into DVLT Merger Sub LLC in accordance with the Limited Liability Company Act of the State of Wyoming, with the merger sub surviving as the Surviving Company, the filing said. The merger becomes effective upon the filing of Articles of Merger with the Wyoming Secretary of State, according to the agreement.

As a condition to closing, each member of WDT, LLC must enter into a lock-up agreement with Datavault AI, the filing said. WDT, LLC is also required to file an entity classification election with the Internal Revenue Service prior to the effective time, to be treated as a corporation for federal tax purposes, according to the filing. The parties intend for the merger to qualify as a reorganization under Section 368(a)(1)(A) of the Internal Revenue Code, the filing said.

The agreement includes schedules naming the managers, directors and officer roles for the surviving entity following the closing, according to the filing.
