Fox Corporation Doubles Term Loan Facility to $2 Billion Ahead of Pending Acquisition
News brief8 Nov 20262 min read

Fox Corporation entered into an amended and restated term loan credit agreement dated November 5, 2026, the company said in a filing, adding $1 billion in new borrowing capacity.

The agreement amends and restates an existing term loan credit agreement dated June 30, 2026, under which lenders had made available a $1 billion term loan facility, referred to as the Initial Term Loan Commitments. Fox requested an additional $1 billion in term loan commitments, described as Incremental Term Loan Commitments, carrying the same terms and conditions as the original facility.

Lenders under the existing agreement also consented to additional amendments to its terms. Morgan Stanley Senior Funding, Inc. serves as administrative agent under the amended agreement, with Morgan Stanley Senior Funding, Citibank, Deutsche Bank AG New York Branch, Goldman Sachs Bank USA and JPMorgan Chase Bank acting as joint lead arrangers and joint bookrunners.

The filing states that Fox intends to use the financing in connection with an acquisition of a target company and its subsidiaries, referred to as the Acquired Business, under an Agreement and Plan of Merger dated June 14, 2026 among Fox, Falcon Merger Sub 1, Inc., Falcon Merger Sub 2, LLC and the target. The transactions tied to the deal include the acquisition itself, borrowing under the new term loans, a planned issuance of unsecured debt or equity securities, and borrowings under a separate bridge credit agreement, all intended to help finance the purchase.
