Knight-Swift Transportation Holdings Inc. outlined the terms of a standard indemnification agreement covering its directors and officers in a filing with the SEC.
The agreement, filed as an exhibit, applies to any person who is or was a director and/or officer of the Delaware corporation, or who served at the company's request in a similar capacity for another entity. Under its terms, the company commits to indemnify such individuals to the fullest extent permitted by the Delaware General Corporation Law against losses, liabilities and expenses, including attorneys' fees, judgments, fines and settlement amounts, arising from actions taken in that capacity.
The document also sets out procedures for advancing legal expenses before a matter is finally resolved. Under the agreement, the company must pay such expenses within 30 days of receiving a written request, and the individual agrees to repay any amounts advanced, without interest, if it is later determined they were not entitled to indemnification.
The agreement further describes how indemnification claims are to be handled, including notice requirements, the company's right to assume a legal defense in most circumstances, and a 30-day window for the company to determine whether a claim is covered. If no determination is made within that period, the individual is generally entitled to indemnification unless there was a material misstatement or omission in the request, or indemnification is otherwise prohibited under Delaware law.
The filing also notes that the company may purchase and maintain insurance policies covering liabilities asserted against directors and officers arising from their service to the company.
