Live Nation Amends General Counsel Rowles' Employment Terms, Extends Contract to 2029

Live Nation Entertainment has amended the employment agreement of Executive Vice President, General Counsel and Secretary Michael G. Rowles, according to an exhibit filed with the SEC that extends his term of employment through December 31, 2029.

Under the First Amendment, effective November 1, 2026, Rowles will report to a yet-to-be-named General Counsel and take on modified responsibilities through December 31, 2027, as defined by that incoming officer.

Starting January 1, 2028, Rowles' title changes to Senior Legal Advisor, a role in which he will provide senior legal advisory duties to Live Nation and the new Reporting Officer for the remainder of the term. His base salary will be set at $500,000 annually beginning that date, and the bonus provision referenced in his original agreement is eliminated effective the same date.

The amendment adds a new exclusive-services provision, effective January 1, 2028, permitting Rowles to serve on outside boards as long as the entity does not compete with Live Nation in live music, event booking, production, touring, festivals, venues, artist management or ticketing. A knowing and material violation while employed would require him to pay liquidated damages equal to his aggregate 2027 stock vesting value.

The severance terms in Section 5(a) were also revised. If Rowles is terminated without cause, or resigns for good reason, on or before December 31, 2027, he would receive a lump-sum cash payment equal to two times his base salary plus accelerated vesting of outstanding equity awards. If such termination occurs after that date and before the term ends, he would instead receive a lump-sum payment equal to his salary for the remaining term.

The filing also notes that Rowles has relocated his primary residence to South Carolina, prompting corresponding changes to jurisdiction references in the agreement. The amendment was signed September 25, 2026, by Live Nation President and Chief Financial Officer Joe Berchtold and by Rowles.
