NanoViricides, Inc. has entered into an at-the-market sales agreement with D. Boral Capital LLC, according to the agreement filed as an exhibit with the SEC.
The agreement, dated July 17, 2026, allows NanoViricides to issue and sell shares of its common stock, par value $0.00001 per share, through D. Boral Capital LLC acting as sales agent or principal, the filing said.
Under the terms described in the exhibit, the company may offer what the agreement calls 'Placement Shares' from time to time, but the total number or dollar amount sold cannot exceed limits tied to an effective registration statement and prospectus supplement, and in no event can sales exceed the number of authorized but unissued shares of common stock, according to the filing.
The company said in the filing that it has previously filed a registration statement on Form S-3, File No. 333-296550, with the SEC, and that it will prepare a prospectus supplement relating specifically to the Placement Shares.
Each sale under the agreement is to be initiated by a Placement Notice from the company specifying the number of shares, the time period for sales, any daily volume limits and any minimum price, the filing stated. The agent is required to use commercially reasonable efforts consistent with its normal trading practices and the rules of the NYSE American LLC to sell the shares specified in each notice.
According to the filing, the agreement describes the arrangement as an 'at the market offering' as defined under Rule 415 of the Securities Act. The filing also states that either the company or the agent may suspend sales of Placement Shares upon written or telephonic notice to the other party, without affecting shares already sold prior to that notice.
