Ondas Inc. said in an 8-K filed with the SEC that it has filed a legal opinion covering the resale of 2,583 shares of its common stock issued in connection with its merger with World View Enterprises Inc.
The opinion, prepared by Snell & Wilmer L.L.P. as Nevada counsel to Ondas, was submitted as an exhibit to the Current Report on Form 8-K dated July 24, 2026, according to the filing.
The shares relate to a Prospectus Supplement dated July 24, 2026, which supplements the company's Registration Statement on Form S-3 (File No. 333-290121) that automatically became effective on September 9, 2025, the filing said.
According to the filing, the shares were issued pursuant to a Merger Agreement dated March 23, 2026 among Ondas Inc., Wassaic Merger Sub Inc., World View Enterprises Inc., and Fortis Advisors LLC, acting as representative under the agreement.
Snell & Wilmer stated in the opinion that the 2,583 shares to be resold by the selling stockholders named in the Prospectus Supplement are validly issued, fully paid and nonassessable under Nevada law.
The firm noted that its opinion is limited to the general corporate law of the State of Nevada as set forth in Chapter 78 of the Nevada Revised Statutes and does not extend to other laws or jurisdictions, according to the filing.
Snell & Wilmer also consented in the letter to the filing of the opinion as an exhibit to the Form 8-K and to being referenced under the heading 'Legal Matters' in the Prospectus Supplement, the filing said.
