Provident Financial Services, Inc. and its subsidiary Provident Bank have appointed Michael E. Regan to their boards of directors, effective July 30, 2026, the company said in a filing with the Securities and Exchange Commission.

Regan is a financial regulatory executive with more than 35 years of experience overseeing safety, soundness, governance and risk management practices at community, regional and complex financial institutions, according to the filing.

During his career with the Federal Deposit Insurance Corporation, Regan advised boards of directors and executive leadership teams on corporate governance, enterprise risk management, capital adequacy, liquidity oversight and regulatory compliance, the filing said. As a Senior Bank Examiner with the FDIC, he led safety and soundness examinations for institutions ranging in size from $100 million to more than $100 billion in assets, and presented examination findings to board audit and risk committees on credit risk, operational resilience, cybersecurity preparedness, internal controls and executive oversight, according to the filing. He also supervised multidisciplinary examination teams, reviewed merger and acquisition applications, and advised on governance practices, succession planning and executive compensation risk alignment, the company said.

Christopher Martin, Executive Chairman, said in the news release included with the filing that Regan's regulatory expertise and experience advising boards and executive leadership teams would provide perspective as the company executes its strategic priorities and upholds corporate governance. Regan said he was honored to join the boards and looks forward to working with fellow directors and the executive leadership team to support the company's continued growth.

Regan holds a Bachelor of Science in Finance from Rider University, according to the filing.

Provident Financial Services is the holding company for Provident Bank, which provides financial products and services through branches in New Jersey, parts of Pennsylvania, and Orange, Queens and Nassau Counties in New York, the filing said. The bank also provides fiduciary and wealth management services through Beacon Trust Company and insurance services through Provident Protection Plus, Inc., according to the filing.
