The Travelers Companies, Inc. has agreed to issue and sell $750 million in new senior notes, according to an underwriting agreement filed with the Securities and Exchange Commission.
The underwriting agreement, dated July 21, 2026, covers $750,000,000 aggregate principal amount of 4.950% Senior Notes due 2031, according to the filing. Travelers is described in the document as a Minnesota corporation.
Barclays Capital Inc., BofA Securities, Inc., Citigroup Global Markets Inc., J.P. Morgan Securities LLC and Wells Fargo Securities, LLC acted as representatives of the several underwriters named in the agreement, the filing said.
The notes will be issued under an indenture dated June 16, 2016 between Travelers and The Bank of New York Mellon Trust Company, N.A., as trustee, according to the agreement.
Under the terms disclosed in the filing, the underwriters agreed to purchase the notes from the company at a price equal to 99.528% of the principal amount, plus accrued interest, if any, from July 24, 2026 to the closing date.
Payment for and delivery of the securities was set to occur at the offices of Davis Polk & Wardwell LLP at 9:30 a.m. New York City time on July 24, 2026, the filing said, unless the parties agreed in writing to another date no later than the fifth business day thereafter.
The offering was made pursuant to the company's automatic shelf registration statement on Form S-3, filed with the Commission under File No. 333-287779, according to the agreement. The filing states that the Commission had not issued any order suspending the effectiveness of the registration statement as of the date of the agreement.
