Vivos Therapeutics, Inc. said in a filing with the Securities and Exchange Commission that Chief Financial Officer Bradford Amman has resigned from his officer and director positions, agreeing to a phased transition arrangement with the company.

Amman resigned as CFO and Secretary effective July 31, 2026, stepping down from all other officer, director, management, board, and committee positions he held at the company and its affiliates, according to the filing.

The agreement outlines a two-phase separation. For the first 90 days after the effective date, described as the Employment Transition Period, Amman will remain a W-2 employee serving as Principal Accounting Officer, continuing to receive his current base salary of $320,000 per year and existing employee benefits, the filing said. His previously deferred pay will be paid out over the next six pay periods, according to the agreement.

Following that period, Amman will transition to a 180-day Advisory/Contractor Period, during which he will serve as an independent contractor providing advisory and transition services on an as-needed basis, the filing said. During that time, the company will pay him a monthly advisory fee of $13,333, equal to 50% of his prior monthly base salary rate, payable in arrears at the end of each month.

The agreement also provides for equity awards to Amman, subject to approval by the company's Board of Directors. The company agreed to grant him 250,000 fully vested shares of common stock, described as Separation Shares, along with options to purchase 150,000 shares exercisable for 10 years, vesting monthly at a rate of 25,000 shares through the Advisory Period, priced at the higher of the market close on the grant date or $0.40, according to the filing.

The filing further states that if the company raises $5 million or more in equity financing during either transition phase, any outstanding amounts owed under the agreement become due within five business days of receipt of funds, and the options become immediately vested upon completion of such financing.
