Atmos Energy Corporation has established a new series of $700 million senior notes due 2036 carrying a 6.000% annual interest rate, according to an officers' certificate filed with the SEC on October 9, 2026.
The notes were issued under an indenture dated March 26, 2009 between the company and U.S. Bank Trust Company, National Association, as trustee, in connection with an underwriting agreement dated October 6, 2026. The notes were offered to the public at 99.638% of their principal amount and mature on November 15, 2036.
Interest on the notes will be paid semiannually on May 15 and November 15 of each year, beginning May 15, 2027, with interest accruing from October 9, 2026. The notes are unsubordinated and rank equally with the company's other unsecured and unsubordinated debt.
Atmos Energy may redeem the notes before August 15, 2036 at a make-whole price based on a Treasury rate plus 15 basis points, or at par value plus accrued interest on or after that date. The company has no obligation to redeem, purchase or repay the notes through any mandatory redemption, sinking fund, or similar provision, nor at the option of the holder.
The filing also outlines procedures for partial redemptions, payment handling through The Depository Trust Company, and reporting obligations the company must meet with the trustee and the Securities and Exchange Commission regarding the notes.
